Thanks for reading the User Agreement (hereinafter referred to as the "Agreement")
of Elanso Information Technology Co., Ltd. (hereinafter referred to as "Elanso").
This Agreement describes the terms and conditions (including the Web and Wireless
Internet, collectively referred to as the "Terms") that govern your use
of Elanso’s services (hereinafter referred to as the “Services") at
www.elanso.com(the "Site").
In this Agreement, "you" or "your" means any person or entity
using the Services (hereinafter referred to as the "User"). Unless otherwise
stated, "Elanso”, "we" or "our" will refer collectively
to Elanso Information Technology Co., Ltd.
"User" means a service provider, such as an interpreter or translator
(hereinafter collectively referred to as “Translator”) or service buyer (hereinafter
referred to as “Client”).

Service Center at help@elanso.com.
1. Acceptance of Terms and Conditions
Before you may become a User of the Site, you must read, agree with and accept
all of the terms and conditions contained in this User Agreement and the Privacy
Policy, including those terms and conditions expressly set out below, and those
incorporated by reference. A User includes the person using this Site and any legal
entity, which may be represented by such person under actual or apparent authority.
Regardless of whether or not you have read this Agreement before registration
your selection of the "Agree" button during the registration process,
indicates that you have agreed to be bound by all the terms and conditions of this
Agreement. This Agreement is a contract only between you and Elanso. This Agreement
will not cover any legal matters and disputes as the result of online communication
or transactions between you and other Users.
When using a certain Service of the Site, you agree that you are subject to any
policies or rules, which are posted in conjunction with the Service. All such posted
policies or rules are hereby incorporated by reference into this Agreement.
This Agreement will be revised from time to time, at our sole discretion, due
to changes in the services offered by Elanso and/or incorporation of suggestions
from our Users. All changes to this Agreement are effective immediately after we
post the changes on our Bulletin Board. If you continue to use the Elanso services
as of the above mentioned effective date, this indicates that you have read, fully
understood, and agreed to be bound by the revised terms and conditions of the Agreement.
If you do not accept the revised Agreement, you must stop using our Services. In
the event of a dispute between a User and Elanso, resolution will be based upon
the latest updated version of the User Agreement.
2. Eligibility
Each user shall hold only one User ID. Our Services are only available to individuals
or entities that can form legally binding contracts under applicable laws. Without
limiting the foregoing, our Services are not available to persons under 18 years
of age, persons who are temporarily or indefinitely suspended from our Services,
or persons who present an unacceptable level of credit risk. If you do not qualify,
please do not use our Services. Elanso requires all Users of the Site to pledge
the authenticity and correctness of their qualifications.
In addition, your Elanso account (including your User ID, User Name and transaction
feedback) shall not be transferred or sold to another party. Elanso reserves the
right to refuse Services to any individuals or entities.
3. Identity Authentication
We may use the means we deem necessary to verify our Users’ identity and qualifications.
The verification process can only improve the likelihood of the authentication of
a User's identity. Since Elanso is not a judicial or an administrative management
body, and User verification on the Internet is difficult, Elanso cannot, and does
not, guarantee the absolute correctness and authentication of any User's identity
and qualifications. You authorise Elanso, directly or through third parties, to
use whatever means of inquiry we deem necessary to validate your claimed identity
and qualifications.
4. Fees
You are responsible for all costs incurred as a result of using our Site and transactions
made through our Site, as well as all applicable payable taxes (including but not
limited to the purchase of payable services from Elanso, access to the Elanso Site,
receiving and sending SMS messages, expenses for relevant hardware, software, communication
and Web services, as well as others relevant payable amounts).
We may, at our sole discretion, change some or all of our Services at any time.
In the event that we introduce a new service, the fees for that service are effective
at the launch of the service.
5. Elanso is Solely an Online Trading Venue
5.1 Elanso’s Role
The Site is only a venue for Users to meet Clients or Translators, to discuss
translation projects or to obtain other translation-related services. This Site
is intended to be a venue for users wishing to search for and discuss translation
projects and to obtain other translation-related services. The Site is not involved
in actual transactions between Users. As a result, we have no control over the legality
or quality of the services provided in a given transaction, the truth or the accuracy
of the information posted by Users, the ability of parties involved to carried out
any other prescribed obligations, the ability of Translators to perform work as
requested or the ability of Clients to properly evaluate translation services delivered.
We neither ensure nor guarantee that parties using our Site will perform the agreed
services or conduct themselves lawfully in a given transaction. We shall not hold
responsible for any losses incurred as the result of a transaction. Users are solely
responsible for all their actions.
5.2 Safe Trading
You shall understand and agree that since User authentication on the Internet
is difficult, Elanso cannot and does not confirm each User's purported identity.
You conduct transactions on Elanso at your own risk. When using Elanso, you should
exercise all the due caution you would when working with people offline or elsewhere
on the Internet.
You may find other Users' information to be offensive, harmful, inaccurate, or
deceptive. Please use cautionary and common sense when using our Site. Please
note that there may be risks of fraud or people acting under false pretenses.
We have established a User-initiated feedback system to help you evaluate other
Users with whom you may work. Mutual appraisal by Users will be shown through ratings
on our website. Rating results will be based upon actual transactions between Users.
These ratings do not represent Elanso's view on the credibility of a given User,
an attempt to take control of feedback, or to give endorsement or approval of feedback.
6. User Information
Definition: "User Information" is defined as any information that a
User provides to us or other Users during registration, bidding or posting processes,
in any public message area (including the Message or Feedback area) or through any
e-mail or SMS feature connected with Elanso. User Information includes descriptions
of projects you post for bidding on our Site as well as any content you post on
other web pages within our Site.
You take full responsibility for the authenticity of any information provided
for us or any other Users. Elanso serves only as a channel for Users to distribute
information, and does not make any guarantee regarding the authenticity of information
provided by Users. If we believe that information provided may cause us to assume
any legal or moral responsibilities, cause us (wholly or partly) to lose our Internet
service provider or any services from other service providers, or we believe that
information provided contains false content, we reserve the right to take any action
that we deem necessary or reasonable, including, but not limited to, deleting this
type of information from user accounts or other pages on the Site.
6.1 Registration
You must become a Registered Elanso User before you are permitted to post information
on the Site. When you are registering with Elanso, you must agree to:
(a) provide your true, correct, complete and updated information as required by
the User Registration form at www.elanso.com;
(b) ensure that your information is up-to-date and accurate. In the event that
your information changes, you agree to note the relevant changes on the Site in
a timely manner. If your information is untrue, incorrect, or incomplete, or if
we have good reason to doubt the truthfulness, correctness, completeness, or current
validity of your information, we have the right to suspend or terminate your user
account, block or delete your information and refuse you from current and future
access to Elanso Services (or any part of the Services) in any form. If you are
registered with Elanso as a representative of a company or other legal entity, you
must declare this and ensure that you are authorised to represent the company or
legal entity to be bound by the terms and conditions of this Agreement.
6.2 User ID, User Name and Password
During registration, each User is required to provide a User ID (which is, by
default, the e-mail address that you use to register with Elanso), a User Name (a
nick name you may use in your transactions on Elanso) and a password. As an
Elanso User, you are solely responsible for the security of your password and assume
full responsibility for all activities associated with your User ID, User Name and
password.
You agree that
(a) you will immediately inform us when you know anyone, without your authorization,
has accessed your User ID, User Name and/or password, or in the event of any other
situation that may have compromised the security of your password; and
(b) you will log off correctly after every session before you leave the Site.
We cannot, and will not, be responsible for any losses and/or damages incurred due
to your failure to comply with this Agreement.
6.3 Restrictions
Your User Information (including but not limited to any project posted) must not:
a、be false, inaccurate or misleading;
b、be fraudulent or involve the sale of counterfeit or
stolen items;
c、infringe upon any third party's copyright, patent,
trademark, trade secret or other proprietary rights or rights of publicity or privacy;
d、violate any applicable law, statute, ordinance or
regulation (including, but not limited to consumer protection, unfair competition,
advertisement law, criminal law, anti-discrimination or trade practices/fair trade
laws);
e、be defamatory, libelous, unlawfully threatening or
unlawfully harassing;
f、be obscene or contain pornography;
g、contain any content that may be considered to be prohibited
or potentially prohibited content as per Chinese law or applicable local laws;
h、contain any viruses, Trojan horses, worms, time bombs,
cancelbots, easter eggs or other computer programming routines that may damage,
modify, delete, detrimentally interfere with, surreptitiously intercept, access
without authority or expropriate any system, data or personal information;
i、create liability for us or cause us to lose (in whole
or in part) the services of our ISPs or other suppliers; or
j、link directly or indirectly to or include descriptions
of the services below:
* services which are prohibited under this Agreement;
* services which are concurrently posted on a website other than Elanso's (this
does not prevent linking to another web site); or
* services which you do not have a right to link to or include.
In addition, you agree not to:
a) have connection with chain mail, spam mail or any reproduction of unnecessary
information；
b) use Elanso services to collect e-mail addresses, and/or information from other
people without their prior consent; or
c) take advantage of the “Service” to fabricate fraudulent e-mails, or in any
other form, attempt to assume the identity of another person or manipulate information
to mislead other people.
7. Your Authorization to Elanso
You hereby agree to allow Elanso to use the information you supply us, in a manner
which does not violate any rights you might have to that information. You also hereby
agree to grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free,
sub-licensable (through multiple tiers) right to exercise the copyright, publicity,
and database rights (but no other rights) you have provided in your User Information,
in any media now known or not currently known.
8. Privacy
Elanso will use your User Information only in accordance with our Privacy Policy.
Our entire Privacy Policy is incorporated into and subject to the Terms of this
Agreement. Therefore, you must read it carefully. Please note that if you voluntarily
disclose your User Information publicly it may be obtained and used by other people.
9. Service Discontinuation or Termination
9.1 You agree that before Elanso collects a fee from Users for
its services, Elanso retains the right to decide whether to terminate your User
ID, User Name and Password or your use of our Services, and to delete (without backup)
the User Information that you submitted to us while using the Services.
You agree that, according to any provision stipulated by this Agreement, Elanso
can, without prior notice, terminate the Services you are using. You also acknowledge
and agree that Elanso can immediately deactivate your User ID, or cancel your User
ID and delete all your relevant information and files, and prohibit you from accessing
these files or Services. After the termination of your User ID, Elanso is under
no obligation to reserve your original User ID or any relevant information, or to
forward any unread or un-sent information to you or a third party. In addition,
you agree that Elanso undertakes no responsibility for damages or losses sustained
by you or any third party arising as the result of the termination of your use of
Elanso's Services.
9.2 Notwithstanding any remedial measures, should any of the
following situations occur, Elanso may immediately issue warnings, temporarily or
permanently suspend your right to be an Elanso User, and/or delete any of your information
and any other information displayed by you on the Site: (i) You violated this Agreement;
(ii) We cannot verify and authenticate the information you submitted to us; (iii)
We believe that your actions on the Site may cause you, our Users, or third party
entities represented by Elanso or providers of Services through the site, to assume
any legal liabilities. If we discover that you have undertaken any deceptive or
fraudulent activities involving our Site or your use of our Site, we can temporarily
suspend or terminate your User ID.
9.3 We cannot, at any time, foresee any technical issues or any
other problems. These problems may lead to data losses or other interruptions of
our Services. Should problems occur that lead to an interruption of Services, the
risk of using our Services is your sole responsibility.
10. Limitation of Liability
10.1 You understand and agree that, we will not be made responsible
for compensation for any losses or damages, including but not limited to loss of
profit, reputation, use, data or other damages caused by imperceptible losses as
a result of the following situations (Irrespective of whether Elanso has or has
not been informed of the possibility of such losses):
a) You use or cannot use the Services; b) Sign-in by any third party
without our authorization, or alterations by a third party of information or data
transmitted by the User; c) Any actions undertaken by a third party, in
the name of the Services or any actions related to the Services; or any events related
to the Services, including negligence, which have not been caused by the Site;
d) Expenses incurred as a result of purchases or acquisitions of any information,
data, services or goods through the Site, or costs incurred by any transactions
concluded in conjunction with the site.
10.2 Because we are not involved in actual transactions between
Clients and Translators, in the event of a dispute between one or more Users, you
release Elanso (and our officers, directors, agents, affiliates, subsidiaries and
employees) from claims, demands and damages (actual, special, direct, indirect and
consequential) of every kind and nature, known and unknown, suspected and unsuspected,
disclosed and undisclosed, arising out of or in any way connected with such disputes.
10.3 You clearly understand and agree that you shall compensate
Elanso, including reasonable compensation for legal fees, for violation of relevant
laws or provisions as stipulated in this Agreement that cause any losses to the
Site, for compensation claims from any third party, or for penalties issued by any
administrative management body.
10.4 If you violate this Agreement or other Policies mentioned
as forming a part of this Agreement, or if you violate the law or infringe on the
rights of a third party, and consequently cause the third party to lodge a claim
for damages (including judicial expenses and other professional fees) against Elanso,
its subsidiaries, branches, board members, employees, or agents, you must compensate
Elanso and its subsidiaries, branches, board members, employees, and agents in a
manner such that they will be exempted from any losses.
11. Legal Compliance
You shall comply with all applicable domestic and international laws, statutes,
ordinances and regulations regarding your use of our Services and your bidding for
projects, project posting, purchase or solicitation of offers to purchase, and sale
of translation services. Specifically, you must ensure that your activities, the
projects that you post, the services you provide and the User Information that you
post on our Site does not violate relevant laws and regulations. YOU ALONE, AND
NOT ELANSO, ARE RESPONSIBLE FOR CONFIRMING THAT YOUR ACTIVITIES ARE LAWFUL. YOU
MUST ENSURE THAT YOU COMPLY WITH ALL APPLICABLE LAWS. YOU MUST ALSO ENSURE THAT
YOU COMPLY WITH ALL CLAUSES OF THIS " USER AGREEMENT",
"PRIVACY POLICY", "CODE
OF PRICTICE FOR REGISTERED INTERPRETERS AND TRANSLATORS"AND
ALL OTHER TERMS AND POLICIES INCORPORATED BY REFERENCE IN THOSE DOCUMENTS.
12. Statement of Independence from Any Agency Agreement
You and Elanso are independent contractors, and no agency, partnership, joint
venture, employee-employer or franchiser-franchisee relationship is intended or
created by this Agreement. Elanso will also make expressed or acquiescent recommendation,
commitment or assurance for the action of any user and their online transaction.
13. Exemption Disclaimer
13.1 You explicitly agree that the potential risks of using the
Services on the Site are your sole responsibility; that you will assume full responsibilities
for all consequences arising as the result of your use of the Services. We take
no responsibility for you, your actions or your use of the Services.
13.2 We can neither guarantee that the Services on the Site will
satisfy all your needs, nor can we guarantee that the Services provided by Elanso
will not be interrupted. We also do not guarantee the timeliness, security, and
accuracy of the Services.
13.3 We cannot guarantee the accuracy and completeness of external
links provided for your convenience. We will not take any responsibility for the
direction, and/or the content of any of these external links that are beyond the
reach of our control.
13.4 We will not undertake any responsibility for any interruptions,
delays or any other defects of our Services in the event of force majeure or circumstances
beyond our control. However, we will do our best to minimize the losses and effects
caused by such events to the Users.
13.5 You agree that we take no responsibility for any defects
or other resulting losses arising from the following products or Services provided
by us.
a) Free Internet Services provided by us to you.
b) Any free gifts or Services provided by us to you.
c) Any complimentary products or Services provided by us to paid Users.
14. General
This Agreement shall be governed and explained in all respects by the laws of
the People’s Republic of China. All Users of this Site irrevocably submit to the
non-exclusive jurisdiction of the courts of Shanghai, People’s Republic of China.
The provisions of this Agreement are severable, and if any provision of this Agreement
is held to be invalid or unenforceable, the said provision may be removed and the
remaining provisions shall be enforced. You agree that this Agreement and all incorporated
agreements may be automatically assigned by Elanso, at our sole discretion, to a
third party in the event of a merger or acquisition. Headings are for reference
purposes only and in no way define, limit, construe or describe the scope or extent
of a given section. Our failure to act with respect to a breach by you or others
does not waive our right to act with respect to subsequent or similar breaches.
You agree that this Agreement may not be construed adversely against us solely because
we prepared it. This Agreement and the terms and conditions incorporated herein
set forth the entire understanding and agreement between Elanso and its Users with
respect to the subject matter hereof.

lies with the copyright owners, on Translation Community the copyright owner is
defaulted as the publisher. If your works was published without your agreement,
please contact the publisher, Elanso takes no responsibilities for it. If the contents
you published infringe upon any third party's copyright or other rights, you have
to bear any liability that may occurs, Elanso takes no responsibilities for it.
